Liapes v. Facebook, Inc.
Liapes filed a class action against Facebook, alleging it does not provide women and older people equal access to insurance ads. The Unruh Civil Rights Act prohibits businesses from discriminating against people with protected characteristics (Civ. Code 51, 51.5, 52(a)). Liapes alleged Facebook requires all advertisers to choose the age and gender of users who will receive ads; companies offering insurance products routinely tell it to not send their ads to women or older people. She further alleged Facebook’s ad-delivery algorithm discriminates against women and older people.The trial court dismissed, finding Facebook’s tools neutral on their face and concluding that Facebook was immune under the Communications Decency Act, 47 U.S.C. 230. The court of appeal reversed. Liapes has stated an Unruh Act claim. Facebook, a business establishment, does not dispute women and older people were categorically excluded from receiving various insurance ads. Facebook, not the advertisers, classifies users based on their age and gender via the algorithm. The complaint also stated a claim under an aiding and abetting theory of liability An interactive computer service provider only has immunity if it is not also the content provider. That advertisers are the content providers does not preclude Facebook from also being a content provider by helping develop at least part of the information at issue. View "Liapes v. EpicentRx, Inc. v. Super. Ct.
EpicentRx, Inc. and several of its officers, employees, and affiliates (collectively, the defendants) challenged a trial court order denying their motion to dismiss plaintiff-shareholder EpiRx, L.P.’s (EpiRx) lawsuit on forum non conveniens grounds. The defendants sought dismissal of the case based on mandatory forum selection clauses in EpicentRx’s certificate of incorporation and bylaws, which designated the Delaware Court of Chancery as the exclusive forum to resolve shareholder disputes like the present case. The trial court declined to enforce the forum selection clauses after finding that litigants did not have a right to a civil jury trial in the Delaware Court of Chancery and, therefore, enforcement of the clauses would deprive EpiRx of its inviolate right to a jury trial in violation of California public policy. The California Court of Appeal agreed with the trial court that enforcement of the forum selection clauses in EpicentRx’s corporate documents would operate as an implied waiver of EpiRx’s right to a jury trial, thus the Court concluded the trial court properly declined to enforce the forum selection clauses at issue, and denied the defendants’ request for writ relief. Martin v. THI E-Commerce, LLC
Plaintiffs Dominick Martin and Rusty Rendon filed suit under the Unruh Civil Rights Act for disability discrimination, contending that one of Thi E-Commerce’s Web sites discriminated against the blind by being incompatible with screen reading software. Plaintiffs contended the court erred by concluding that a Web site was not a place of public accommodation under the Americans with Disabilities Act (incorporated into the Unruh Act). Although this was an issue that has split the federal courts (and California Courts of Appeal), the appellate court here concluded the ADA unambiguously applied only to physical places. Moreover, even if the Court found ambiguity and decided the issue on the basis of legislative history and public policy, it would still conclude that the ADA did not apply to Web sites. Plaintiffs alternatively contended they stated a cause of action against Thi E-Commerce on a theory of intentional discrimination. To this, the Court of Appeal concluded the allegations of the complaint did not state a claim under that theory either and affirmed the judgment. View "Martin v. THI E-Commerce, LLC" on Justia Law
The Law Firm of Fox and Fox v. Chase Bank
The Law Firm of Fox and Fox (Law Firm) appealed from a judgment entered after the trial court granted summary judgment in favor of Chase Bank, N.A. The Law Firm filed this action against Chase, alleging negligence in the disbursement of funds from a blocked account containing estate funds to the sole signatory on the account (as administrator of the estate), Jazzmen Brumfield (Brumfield). The trial court granted Chase’s motion for summary judgment. On appeal, the Law Firm contends it raised triable issues of fact with respect to whether Chase owed a duty to the Law Firm, whether Chase breached any such duty, and whether Chase’s conduct in distributing the funds to Brumfield (who absconded with the funds) was the proximate cause of the Law Firm’s damages.
The Second Appellate District reversed. The court concluded Chase owed the Law Firm a duty of care based on the special relationship it had with the Law Firm as an intended beneficiary of the probate court’s order directing that the estate funds be deposited into a blocked account from which withdrawals could only be made “on court order” and Chase’s acceptance of that order by executing the “receipt and acknowledgment of order for the deposit of money into blocked account.” The court explained that although banks do not generally have a duty to police customer accounts for suspicious activity, Chase owed the Law Firm, as an intended beneficiary of the blocked account order and acknowledgment, a duty to act with reasonable care in limiting distributions from the blocked account to those authorized by court order. Geringer v. Blue Rider Finance
Geringer Capital, Inc., Roger Geringer and Tricycle Entertainment, LLC (collectively Geringer parties) moved to preclude Jeffrey Konvitz, Blue Rider Finance, Inc.’s counsel of record, from testifying at trial in support of Blue Rider’s claim that the Geringer parties fraudulently induced Blue Rider to enter into a settlement agreement that did not accurately reflect the terms negotiated by the parties. The Geringer parties subsequently clarified that their motion should be considered, in the alternative, a motion to disqualify Konvitz. The court granted the motion and disqualified Konvitz, finding the integrity of the judicial process would be impaired if Konvitz served in dual roles. On appeal Blue Rider contends the court should have denied the motion due to the Geringer parties’ excessive delay in raising the issue.
The Second Appellate District reversed. The court concluded that Konvitz’s representation of Blue Rider at trial while also testifying on its behalf would “detract from the proper administration of justice,” the trial court quoted this general description of the basis for the advocate-witness rule, as well as comments explaining the parallel rule in the ABA Model Rules of Professional Conduct (ABA Model Rule 3.7) and in the ABA’s former Model Code of Professional Responsibility, all pointing to the conclusion that the roles of advocate and witness are inconsistent. The court then added its own observation that these dual roles create the risk of error and confusion, and “the trier of fact will constantly keep wondering whether the advocate-witness is acting under the appropriate role such that it will distract from the arguments and evidence presented.” View "Geringer v. Safechuck v. MJJ Productions, Inc.
The principal issue in these cases is whether two corporations, wholly owned by the late entertainer Michael Jackson, had a legal duty to protect plaintiffs from sexual abuse Jackson is alleged to have inflicted on them for many years while they were children. The corporations say they had no duty to protect plaintiffs from Jackson because of their corporate structure, that is, “because they had no ability to control Jackson—their sole owner—or his interactions with [plaintiffs]. Parties cannot be liable for neglecting to exercise powers they simply do not have.” The trial court sustained Defendants’ demurrer without leave to amend in Safechuck’s case and granted summary judgment to Defendants in Robson’s case. Both Plaintiffs appealed, and Robson also appealed a discovery sanctions order against his counsel
The Second Appellate District reversed. The court explained that following the guidance in Brown v. USA Taekwondo (2021) 11 Cal.5th 204 (Brown), it concludes that a corporation that facilitates the sexual abuse of children by one of its employees is not excused from an affirmative duty to protect those children merely because it is solely owned by the perpetrator of the abuse. The court explained that while there is no comparable case law to recite it would be perverse to find no duty based on the corporate defendant having only one shareholder. Thus the court reversed the judgments entered for the corporations. One of the plaintiffs also appealed a sanctions order and discovery rulings granting protective orders to nonparty witnesses. Metabyte v. Technicolor S.A.
This action represents Metabyte’s fourth attempt to hold Technicolor liable for Technicolor’s allegedly improper auction of a patent portfolio in 2009. After the French courts ruled they lacked jurisdiction in the criminal action, Metabyte brought an action in district court alleging a federal RICO claim and several state law causes of action. After the district court ruled that equitable tolling did not apply to its RICO claim as a matter of federal law, Metabyte dismissed the federal action and brought its state law claims in Los Angeles County Superior Court. The trial court granted Technicolor’s demurrer without leave to amend. Metabyte contends the trial court erred in finding equitable estoppel applies only where a plaintiff invokes remedies designed to lessen the extent of a plaintiff’s injuries or damages, with the result that Article 145 proceeding in France could not support equitable tolling because it did not provide such a remedy. Technicolor defends the trial court’s ruling but devotes more of its energies to its contentions that even if equitable tolling did apply, the order should be affirmed by applying the doctrines of issue preclusion and judicial estoppel.
The Second Appellate District affirmed the trial court’s ruling sustaining the demurrer on the alternate ground that Metabyte failed to adequately plead facts showing that its decision to proceed in France was objectively reasonable and subjectively in good faith. However, the court granted Metabyte leave to amend. Accordingly, the court reversed the judgment and remanded for further proceedings. View "Metabyte v. Technicolor S.A." on Justia Law
HNHPC v. Dept. of Cannabis Control
Plaintiff HNHPC, Inc., appealed a judgment entered in favor of Defendants the Department of Cannabis Control (the Department) and Nicole Elliott. The complaint alleged the Department failed to perform its mandatory duties and/or failed to properly perform discretionary duties under the Medicinal and Adult-Use Cannabis Regulation and Safety Act (MAUCRSA). Plaintiff contended the court erred by taking judicial notice of certain documents and by sustaining defendants' demurrer. In sustaining defendants’ demurrer, the court took judicial notice of two government contracts with a contractor to design the track and trace system and the Department’s budget request for the 2021-2022 fiscal year. Relying on these documents, the court found the Department had complied with its ministerial duties under Bus. & Prof. Code section 26067. Assuming, without deciding, that the trial court properly took judicial notice of the documents, the Court of Appeal found the complaint still stated a claim for a writ of mandate and injunctive relief because the judicially noticed documents did not contradict the complaint's allegations. Because the complaint adequately pleaded facts to state a cause of action for a writ of mandate and for injunctive relief, the Court of Appeal reversed the judgment. View "HNHPC v. Barber Group, Inc. v. New Motor Vehicle Bd.
Barber Group, Inc., doing business as Barber Honda (Barber)—a car dealer in Bakersfield, California—brought an establishment protest to the California New Motor Vehicle Board (Board), challenging a decision by American Honda Motor Co., Inc. (Honda) to open a new dealership about nine miles away. The Board overruled Barber’s protest, and the trial court denied Barber’s petition for administrative mandate challenging the Board’s decision. On appeal, Barber argued the Board prejudicially erred when it: (1) relied on Honda’s dealer performance standards at the protest hearing without first deciding whether those standards were reasonable; (2) permitted the proposed new dealership to exercise a peremptory challenge to an administrative law judge initially assigned to the protest hearing, contrary to notions of fairness and the Board’s own order in the matter; and (3) denied Barber’s request that it take official notice of the effects of the COVID-19 pandemic. Rojas v. HSBC Card Services Inc.
This case was the second round of appeals arising from Dalia Rojas’s lawsuit against HSBC Card Services, Inc. and HSBC Technology & Services (USA) Inc. (together, HSBC) for violations of the California Invasion of Privacy Act . Rojas received hundreds of personal calls from her daughter Alejandra, an employee at an HSBC call center, which were recorded by HSBC’s full-time recording system. Rojas alleged HSBC intentionally recorded confidential calls without her consent. She also alleged HSBC intentionally recorded calls to her cellular and cordless phones without her consent. The trial court granted summary judgment to HSBC, and Rojas appealed. The Court of Appeal reversed, concluding HSBC had not met its initial burden to show there was no triable issue of material fact on intent. On remand, HSBC made a Code of Civil Procedure section 998 offer, which Rojas did not accept. The case proceeded to a bench trial, where HSBC relied, in part, on workplace policies that purportedly barred call center agents from making personal calls at their desks to show it did not intend to record the calls. The trial court ultimately entered judgment for HSBC. Pertinent here, the court found Rojas did not prove HSBC’s intent to record. The court also found Rojas impliedly consented to being recorded, and did not prove lack of consent. Rojas appealed that judgment, contending the trial court made several errors in determining she did not prove her Privacy Act claims and that the evidence did not support its findings. The Court of Appeal concluded the trial court applied correct legal standards in assessing lack of consent and substantial evidence supports its finding that Rojas impliedly consented to being recorded. Although the Court determined the record did not support the court’s finding that HSBC did not intend to record the calls between Rojas and her daughter, that determination did not require reversal. "What it underscores, however, is that a business’s full-time recording of calls without adequate notice creates conditions ripe for potential liability under the Privacy Act, and workplace policies prohibiting personal calls may not mitigate that risk."
