In re: Bernard L. Madoff Investment Securities LLC
Defendants JABA Associates LP and its general partners appealed the district court’s judgment granting summary judgment to Plaintiff, (“Trustee”), pursuant to the Securities Investor Protection Act of 1970 (“SIPA”). JABA was a good faith customer of Bernard L. Madoff Investment Securities LLC (“BLMIS”) and held BLMIS Account Number 1EM357 (the “JABA Account”). The Trustee brought this action to recover the allegedly fictitious profits transferred from BLMIS to Defendants in the two years prior to BLMIS’s filing for bankruptcy. The district court granted recovery of $2,925,000 that BLMIS transferred to Defendants in the two years prior to BLMIS’s filing for bankruptcy, which made it recoverable property under SIPA.Defendants appealed the district court’s grant of summary judgment. The Second Appellate District affirmed reasoning that because is no genuine dispute of material fact that Bernard L. Madoff transferred the assets of his business to Defendants, which made it recoverable property under SIPA, the district court properly granted summary judgment to Plaintiff. The court reasoned that here Here, Defendants argue that the Bankruptcy Code does not authorize an award of prejudgment interest because the statute is silent. Yet Defendants do not make any argument that this silence is dispositive. Further, the court wrote that prejudgment interest has been awarded against other similarly situated defendants in related SIPA litigation. Thus, the district court appropriately balanced the equities between the parties. Given this, the district court did not abuse its discretion in granting an award of 4 percent prejudgment interest to the Trustee. View "In re: Bernard L. BRFHH Shreveport v. Willis-Knighton
BRFHH Shreveport sued Willis-Knighton Medical Center for antitrust violations. The district court dismissed the complaint for failure to state a claim. The Fifth Circuit affirmed. The court held (A) BRF’s Section 1 claim fails because BRF hasn’t plausibly alleged an agreement between Willis-Knighton and LSU. Then the court held (B) BRF’s Section 2 claim fails because BRF hasn’t plausibly alleged market foreclosure.
The court explained that BRF’s complaint fails because the complaint alleges that Willis-Knighton’s exclusive dealing arrangement affected the upstream market for physician services. Then the complaint alleges foreclosure in the downstream medical services market. But BRF doesn’t adequately connect the two. First, the complaint already chose which market to allege. And it chose to focus on downstream markets for healthcare services—not the upstream market for physicians. BRF can’t change horses midstream. Second, though the complaint asserts that BRF had no choice but to get physicians from LSU, it admits this was a pre-existing “provision in the hospital by-laws.” So even if the restriction threatened substantial foreclosure— which BRF hasn’t alleged—BRF still would’ve failed to plead causation. Salazar v. Walmart, Inc.
After Plaintiff-appellant David Salazar bought Walmart, Inc.’s “Great Value White Baking Chips” incorrectly thinking they contained white chocolate, he filed this class action against Walmart for false advertising under various consumer protection statutes. The trial court sustained Walmart’s demurrers without leave to amend, finding as a matter of law that no reasonable consumer would believe Walmart’s White Baking Chips contain white chocolate. The thrust of Salazar's claims was that he was reasonably misled to believe the White Baking Chips had real white chocolate because of the product’s label and its placement near products with real chocolate. Salazar also alleged that the results of a survey he conducted show that 90 percent of consumers were deceived by the White Baking Chips’ advertising and incorrectly believed they contained white chocolate. “California courts . . . have recognized that whether a business practice is deceptive will usually be a question of fact not appropriate for decision on demurrer. ... These are matters of fact, subject to proof that can be tested at trial, even if as judges we might be tempted to debate and speculate further about them.” After careful consideration, the Court of Appeal determined that a reasonable consumer could reasonably believe the morsels had white chocolate. As a result, the Court found Salazar plausibly alleged that “‘a significant portion of the general consuming public or of targeted consumers, acting reasonably in the circumstances, could be misled’” by the chips' advertising. Salazar v. Target Corp.
After Plaintiff-appellant David Salazar bought Target Corporation’s White Baking Morsels incorrectly thinking they contained white chocolate, he filed this class action against Target for false advertising under various consumer protection statutes. Salazar claimed he was reasonably mislead to believe the White Baking Morsels had real white chocolate because of the product’s label, its price tag, and its placement near products with real chocolate. To support his position, Salazar alleged that the results of a survey he conducted showed that 88 percent of consumers were deceived by the White Baking Morsels’ advertising and incorrectly believe they contained white chocolate. He also alleged that Target falsely advertised on its website that the “‘chocolate type’” of White Baking Morsels was “‘white chocolate,’” and placed the product in the “‘Baking Chocolate & Cocoa’” category. Target demurred to all three claims on the ground that no reasonable consumer would believe the White Baking Morsels contained real white chocolate. Target also argued that Salazar lacked standing to assert claims based on Target’s website because he did not view the website and did not rely on its representations. The court sustained Target’s demurrer without leave to amend and entered judgment for Target. “California courts . . . have recognized that whether a business practice is deceptive will usually be a question of fact not appropriate for decision on demurrer. ... AV Automotive, LLC v. Gebreyessus
The Supreme Court affirmed in part and reversed and remanded in part the judgment of the circuit court awarding sanctions against Plaintiffs, holding that the circuit court erred in awarding the total amount of the attorney's fees claimed.Plaintiffs brought this claim alleging fraud, breach of fiduciary duty, tortious interference with a contractual relationship or business expectancy, and business conspiracy against Defendant, a former employee. After the circuit court granted Plaintiffs' motions to nonsuit as to all parties the circuit court granted Defendant's motion for sanctions, awarding sanctions of $213,197 - Defendant's total attorney's fees - against Plaintiffs. The Supreme Court reversed in part, holding that the circuit court (1) was within its discretion to award sanctions against Plaintiffs; but (2) erred in awarding sanctions for certain conduct and in failing to segregate sanctionable claim from the attorney's fees requested. Poly-Med, Inc. v. Novus Scientific Pte. Ltd., et al.
The United States Court of Appeals for the Fourth Circuit certified a question of law to the South Carolina Supreme Court. In June 2005, Poly-Med, Inc. (Poly-Med) entered into a Sale of Materials and License Agreement with the predecessor in interest to Defendants Novus Scientific Pte. Ltd., Novus Scientific, Inc., and Novus Scientific AB (collectively, Novus). The Agreement required Poly-Med to develop a surgical mesh for Novus's exclusive use in hernia-repair products. The dispute between Poly-Med and Novus arose from two ongoing obligations in the parties' Agreement. As characterized by the Fourth Circuit, the alleged breach of the Agreement centered on the contractual provisions that contained these two obligations: the "hernia-only" provision and the "patent-application" provisions. The federal court asked whether, under a contract with continuing rights and obligations, did South Carolina law recognize the continuing breach theory in applying the statute of limitations to breach-of-contract claims, such that claims for separate breaches that occurred (or were only first discovered) within the statutory period are not time-barred, notwithstanding the prior occurrence and/or discovery of breaches as to which the statute of limitations has expired? The Supreme Court found South Carolina did not recognize the continuing breach theory. "Moreover, it may matter greatly 'if the breaches are of the same character or type as the previous breaches now barred.'" Nevertheless, in a contract action, the Court held it was the intent of the parties that controlled: "Whether separate breaches of the same character or type as time-barred breaches trigger a new, separate statute of limitations depends on the parties' contractual relationship—specifically, what the parties intended." Books-A-Million, Inc., v. South Carolina Department of Revenue
Books-A-Million was a retail bookstore operating thirteen locations throughout South Carolina. For $25 per year, Books-A-Million customers could become members in the "Millionaire's Club" to receive retail discounts. In 2015, the South Carolina Department of Revenue audited three years of Books-A-Million's financial records and discovered that no sales tax was being charged on Millionaire's Club memberships. The Department thereafter issued a Notice of Proposed Assessment for $242,076.97 in unpaid sales tax. Taxpayer was granted a contested hearing before an ALC, which upheld the assessment because, under South Carolina law, the sales of intangible memberships can be taxable if their value originates from the sale of taxable goods. Taxpayer then appealed to the court of appeals which affirmed. Both courts held that the pertinent language of "value proceeding or accruing" from the definition of "gross proceeds of sales" was inclusive of Taxpayer's Millionaire's Club membership fees because the language included value related to sales, not merely the value of the sales themselves. Taxpayer argued on appeal that its sales of Millionaire's Club memberships were not taxable under South Carolina's sales tax because the language of the statute excluded it. The Department contended that the state tax code contemplated value not just from sales of tangible goods, but from related costs because of the language "proceeding or accruing" as well as the jurisprudence of the South Carolina Supreme Court. XRI Investment Holdings LLC v. Holifield
The Court of Chancery held Gregory Holifield violated an agreement by forming GH Blue Holdings, LLC (Blue) as a single-member LLC and then transferring all of his Class B units in XRI Investment Holdings, LLC (XRI), of which he was a co-founder and member, to Blue (the Blue Transfer) was void while the law required this result, it was contrary to the equities of the case.The LLC agreement that governed XRI's internal affairs (the LLC agreement) contained a provision generally prohibiting members from transferring their member interests (the No Transfer Provision) and that any such transfer is void. XRI asserted that the Blue Transfer was void ab initio and never became effective, and Holifield responded that XRI's claim was barred by the equitable defense of acquiescence. The Court of Chancery agreed with Holifield, holding Holifield satisfied all of the requirements to prove the defense of acquiescence. In this decision, the Court set out rationale to support an approach to the issue that does not currently reflect Delaware law and ordered the parties to submit a final order as to form. Cherokee Nation v. Lexington Insurance Co., et al.
Cherokee Nation filed a declaratory judgment action seeking insurance coverage under the business interruption provision of a policy issued by a number of insurers for the economic losses it incurred when it temporarily closed its properties due to the threat of COVID-19. The district court granted Cherokee Nation's motion for partial summary judgment, holding the phrase "direct physical loss" in the business interruption provision of the policy included coverage for losses sustained by property rendered unusable for its intended purpose. The district court also found that none of the exclusions raised by the insurers applied to Cherokee Nation's loss. The insurers appealed, and the Oklahoma Supreme Court retained the appeal, holding that Cherokee Nation's losses were not covered under the business interruption section of the insurance policy at issue. The district court erred in finding business interruption coverage when Cherokee Nation did not sustain immediate, tangible deprivation or destruction of property. View "Cherokee Nation v. In re P3 Health Group Holdings, LLC
The Court of Chancery denied Jessica Puathasnanon's motion to dismiss this action pursuant to Rule 12(b)(2), holding that Puathasnanon was subject to personal jurisdiction in Delaware for purposes of the claims asserted in this case.Hudson Vegas Investment SPV, LLC sued various defendants, including Puathasnanon, the general counsel and chief legal officer of P3 Health Group Holdings, LLC, asserting that Puathasnanon breached the fiduciary duties she owed to P3 and its members. Puathasnanon filed a motion to dismiss, asserting that the court could not exercise personal jurisdiction over her. The Court of Chancery denied the motion to dismiss, holding that the exercise of personal jurisdiction over Puathasnanon comported with minimum standards of due process.
